Social Contract Theories

Le mobile de notre recherche est d’analyser les facteurs ou pesanteurs qui ont empêché les dirigeants sociaux et les professionnels du chiffre (directeurs administratifs et financiers, chefs comptables et comptables, auditeurs et contrôleurs de gestion, experts comptables et commissaires aux comptes) à produire, voire à certifier des états financiers de synthèse qui reflètent l’image fidèle des sociétés commerciales de la RD Congo. L’étude s’est effectuée au cours de deux premières années de mise en application du Système comptable de l’OHADA (SYSCOHADA), soit 2014 pour les comptes personnels et 2015 pour les comptes consolidés et les comptes combinés. Nous avons fait un tour rétrospectif sur l’exercice social 2013 ainsi qu’un regard projectif sur l’exercice 2016, dans le cadre de vérifications empiriques à ce sujet.
En grosso modo, nos analyses se sont appuyées sur les données comptables et fiscales de 4 exercices sociaux (2013 à 2016). La toile de fond de notre étude était de savoir pourquoi les états financiers n’ont pas donné l’image fidèle du patrimoine, du résultat et de la situation financière. Cette notion d’image fidèle est consacrée par les articles 2 à 11 de l’Acte uniforme portant organisation et harmonisation des comptabilités des entreprises (AUOHCE), tel que révisé par l’Acte uniforme relatif au droit comptable et à l’information financière (AUDCIF) du 26 janvier 2017 ainsi que les articles 137 à 141 de l’Acte uniforme relatif aux Sociétés commerciales et au Groupement d’intérêt économique (AUSCGIÉ) ; à condition que les états financiers soient établis et présentés conformément aux dispositions des articles 25 à 34 de l’AUDCIF susvisé.
Notre analyse est partie des vérifications empiriques sur les informations financières et fiscales de 173 sociétés commerciales et des réponses de 357 dirigeants sociaux des sociétés commerciales et des professionnels du chiffre qui ont répondu à notre questionnaire d’enquête. Les résultats de cette enquête, tout comme ceux des vérifications empiriques ont été recoupés et confirmés à partir de l’entretien semi-directif avec 38 informants qui ont vécu la transition du Plan Comptable Général Congolais (PCGC) vers le SYSCOHADA.
De nos analyses, il a été démontré que les états financiers et d’autres documents comptables et de gestion courante des sociétés commerciales de la RD Congo n’ont pas reflété l’image fidèle des patrimoines, des résultats et des situations financières. Pour cause, il a été révélé que les dirigeants sociaux ainsi que les professionnels du chiffre ont établi et/ou certifié des informations financières influencées par des facteurs et pesanteurs politico-contractuels, conventionnels et socio-institutionnels. Ainsi, nous avons suggéré, qu’au-delà du formalisme mettant en relation les éléments de principaux états financiers (Bilan, Compte de résultat et
Tableau des flux de trésorerie), il faille instaurer des mécanismes de durcissement de la réglementation comptable par un contrôle du niveau d’application du SYSCOHADA. Ce contrôle doit partir de l’examen des postes du Bilan à celui des soldes intermédiaires de gestion du Compte de résultat pour arriver à tirer les conséquences de la vérification de la comptabilité produite par les gestionnaires (dirigeants sociaux) et/ou certifiée par les professionnels du chiffre (consultants, auditeurs et commissaires aux comptes). Tous ces acteurs devront être invités au respect du Code d’éthique et de la Clause de conscience.

The paper aims to contextualise Grotius’ contribution to the debates on the appropriation of the coastal seas, and his enduring influence, while shifting the attention from his booklet Mare liberum (1609) to the De iure belli ac pacis (1625). Since the late Middle Ages, European polities had been claiming exclusive rights over the waters adjacent to their coasts. The County of Flanders for instance pretended control of the so-called ‘Flemish Stream’ (Vlaamse stroom) since at least the mid-14th century. By the time of Grotius’ lifetime claims over the sea had been put into question by the emergence of the principle of the freedom of the sea, both in state practice and doctrine.
The Dutch publicist Cornelius van Bynkershoek (1673-1743) is often indicated as the leading force behind a long-lasting compromise between the ideas of freedom of the sea (mare liberum) and dominion over it (mare clausum) proposed in his treatise De dominio maris dissertatio (1st ed. 1703, 2nd ed. 1744). Taking inspiration from trends emerging in state practice, he suggested that coastal states should be entitled to sovereign rights (dominium, imperium) over a strip of waters defined by the range of artillery located on the shore (i.e. the territorial seas) as opposed to the high seas, where the paradigm of freedom and commonality would reign supreme.
Nonetheless, Grotius in the work of his maturity De iure belli ac pacis (book II, ch. II, § 3.2; ch. III, § 8-15), without renegading the freedom of the sea in relation to the high seas, had admitted that seafaring polities could under certain conditions acquire exclusive rights over coastal waters. In conclusion, by combining our respective fields of expertise, we propose a long durée perspective on the historical reflection on the extension of state jurisdiction over the coastal seas, thus contextualising Grotius’ thought both in relation to his sources of inspiration (e.g. previous practice in the Low Countries) and his later influence on the conceptualisation of legal rights over the coastal seas (e.g. assessing/tracing his influence on the thought of later authors such as Bynkershoek).

L'article intitulé "Le phénomène de gestion des bénéficesune analyse théorique" présente un aperçu des théories qui fondent les pratiques de gestion des bénéfices au sein des entreprises. Tout d'abord, la recherche repose sur une analyse approfondie de la littérature existante, notamment sur les théories des contrats, de l'agence et des coûts politiques. Ces théories offrent la possibilité de saisir les raisons profondes qui incitent les dirigeants à influencer les résultats financiers. Ensuite, l'article se penche sur les méthodes employées afin d'améliorer l'équité financière. Il examine les diverses approches utilisées par les entreprises afin de diminuer les résultats, sous-évaluer les actifs ou surévaluer les passifs. L'objectif de ces méthodes est de donner une vision plus positive de la performance financière de l'entreprise, de répondre aux attentes des investisseurs, de diminuer les dépenses de financement et d'influencer les décisions des parties impliquées. En résumé, cette recherche théorique souligne la complexité du processus de gestion des profits. Des facteurs internes (conflit d'intérêts, asymétries d'information) et externes (pressions réglementaires, concurrence) sont à la fois à l'origine des pratiques de manipulation des résultats comptables. Il est crucial que les chercheurs, les praticiens et les régulateurs comprennent ces mécanismes pour élaborer des outils d'analyse et de contrôle plus performants.

Apport de l'approche cognitive à l'étude de la politique comptable dans une organisation Résumé : La politique comptable est étudiée, avec intérêt, notamment par la théorie positive de la comptabilité. Le problème est appréhendé à travers l'influence des informations comptables sur les choix des investisseurs et la résolution des problèmes d'agence. L'apport de l'approche cognitive, consiste à proposer une définition du problème grâce à une nouvelle conception de l'entreprise. L'accent est mis sur les processus cognitifs lors des prises de décision par les individus. Ceci ouvre plusieurs voies de recherche pour la détermination des éléments favorisant le choix des politiques comptables.

Cette étude vérifie l'effet de la gouvernance d'entreprise sur la pertinence des bénéfices. La gouvernance est synthétisée en six axes. Leur introduction dans l'association bénéfices-rendements d'un échantillon américain montre un effet significatif de la gouvernance sur la pertinence.

Ce papier s'intéresse à réaliser une analyse comparative de la gouvernance des entreprises publiques. Cet exercice de comparaison permet de mettre l'accent sur les avantages et les inconvénients de chaque expérience en soulignant les points communs et de différence de chaque pays afin de déduire les perspectives futurs de la gouvernance publique. La réalisation de ce travail a nécessité la collecte, le traitement, l'analyse et la synthèse des différents documents, en particulier des articles scientifiques, des rapports officiels et des études professionnelles. Nous avons également eu l'opportunité de faire vingt entretiens avec les administrateurs et les dirigeants des entreprises publiques. Nous avons utilisé la technique des entretiens en profondeur afin d'explorer l'avancement des pratiques de la gouvernance tout en notant les remarques, les contraintes et leurs propositions pour renforcer le système de la gouvernance et les points de différence avec les autres entreprises publiques à l'international en étudiant trois cas : la SNCF en France, la STM au Canada et la NIW au Royaume Uni. Pour cela, nous commençons par le cadre général de la gouvernance des entreprises publiques, ensuite nous mettons une comparaison de la gouvernance des entreprises publiques entre la France, l'Espagne, l'Allemagne, le Canada et le Royaume Uni avec des illustrations pratiques afin de tirer les enseignements et les perspectives futures de recherche.

Les états financiers sont des documents de synthèse que toutes les entreprises ont l'obligation légale de produire. Or la majorité des Très Petites Entreprises (TPE) camerounaises choisissent de ne pas les établir. Ainsi, la présente étude interroge les raisons qui empêchent les TPE à présenter leurs états financiers au Cameroun. A cet effet, le khi-deux, le Coefficient de contingence et le V de Cramer sont utilisés sur un échantillon de 308 TPE sur la période de juin en septembre 2020. Les variables de l'étude sont catégorielles. Au terme de cette enquête, quatre principaux résultats se dégagent. İnsanın toplumsallığını anlamak ve gerektiğinde değiştirmek için tarih boyunca çeşitli açıklamalar üretilmiştir. İçinde yaşadığımız modern-kapitalist dünyanın gelişme sürecine paralel biçimde ilerleyen modern egemen devlet kavramı da kendisini meşrulaştıracak olan toplum sözleşmesi teorileriyle birlikte biçimlenmiştir. Her ne kadar bu konu altında genel olarak anılan filozoflar Jean-Jacques Rousseau, John Locke ve Thomas Hobbes olsa da konuyla ilgilenen filozofların sayısı oldukça fazladır. Önemli bir başka nokta da bu teorilere temel teşkil eden doğal hak düşüncesinin söz konusu filozofların çağlarından çok daha geriye giden bir geçmişe sahip olduklarıdır. Modern dönem sözleşme teorilerinin doğal hak varsayımlarından en önemli farkı, yeni biçimlenen devletin meşruiyet kaynağını kutsal metinlere ve Kilise’ye değil, varsayımsal bir doğa durumuna ya da kendi eylemlerinin belirleyicisi olan bir özgür özne kavramına dayandırmalarıdır. Non-fungible tokens, known as NFTs, are surfacing as an artistic haven for authors. Not only do they
seem like a lucrative way to invest in digital art, but they also promise protection, remuneration and
scarcity for artists on the blockchain. Promises that the internet and copyright law failed to keep.
In the realm of blockchain, everything seemed to be possible, however, in the real world, things are
more complicated. Unlike the promised protection NFTs make for authors, the image of NFTs
through the lens of copyright law might not seem that colourful. In fact, an extensive body of
European regulation and case law guard the domain of copyright protection. What subject matter is
accorded copyright protection? What acts have the potential to be regulated by the rights of
exploitation of authors? And what scenarios amount to copyright infringement? These questions have
been carefully curated for literary and artistic works of analogue and digital nature; however, little
legislation and jurisprudence exists concerning the products of web 3.0, specifically Art NFTs. This
can result in a deep misunderstanding on behalf of NFT owners and buyers, and in worse case
scenarios, cases of copyright infringement.
With the purpose of studying the legal framework that surrounds NFTs, and clearing out the fog of
illusion, this paper will rely on the European legal framework along with EU case law to answer this
thesis’ main research question: “To what extent can Art NFTs be considered a copyright-protected
subject matter? and are they a source of copyright infringement according to the EU copyright
framework?” The paper will therefore start with a general overview of the technological ecosystem
surrounding NFTs, to later dive into their elementary composition and the promises they make for
digital artists, and how these elements translate into the legal notion of copyright law. The legal
analysis consists of clarifying if Art NFTs can subsist copyright protection and which economic rights
are indulged when one creates his own Art NFT. Finally, this analysis will present ownership
scenarios that lead to copyright infringement

The research undertaken in the following paper bases its analysis on the model of the decentralized governance, offered in the case of blockchain technologies. The focus will be centered on some social elements of innovation introduced by the blockchain system, such as the Non-fungible tokens (NFT) and on the argument of their undeniable influence on a social, political and cultural levelinto forming a new model of governance. More specifically, it will be given an insight on the modes in which the compliance to the blockchain and NFT model, gives rise to new levels of relations between people, influencing their ways of living and socializing. Thus, NFTs are putting forward some novel aesthetics of interaction-exemplified by the case of a new perspective on art, and enhancing individual will and autonomy, through the circulation of cryptographic tokens within the digital space.

El presente artículo pretende poner de relieve, en el marco de la interpretación de la toma del poder en una revolución, las contradicciones, aciertos, aporías y modos de ser de la vida política en el libro de Rousseau “El contrato social”, atendiendo, especialmente, a los conceptos de Voluntad General, libertad e igualdad. Se pretende, de igual manera, buscar una reflexión sobre el significado de esos conceptos asociados con la posibilidad de la revolución y de cómo se podrían implantar en ese contexto atendiendo a los medios de su realización, especialmente el terror.

This chapter introduces a notion of social/ethical norm that integrates its description as a self- sustaining regularity of behavior with the normative meanings of the statements by which a norm is formulated in the moral language. This definition is applied to organizational ethics where the main problem Ð abuse of authority - is identified with the help of a critical reading of the new-institutional economic theory of the firm. Given a game theoretical definition of an institution, it is then shown that only by integrating it with the social contract as shared mode of reasoning the process of convergence to the beliefs system that backs an equilibrium institution may be started. Thus the chapter illustrates the egalitarian social contract as both an impartial justification for organizational constitutions and as an equilibrium selection device. This thesis analyses the role of theology in the birth of classical liberal political philosophy in the West. It aims to show that, like every system of ideas, liberalism is indebted to theology and metaphysics, and that Christian theology has played a major role in the birth thereof. It eventually argues that in the early modern age, liberal political theory was grounded on very basic premises that were borrowed from Christian
theology.

The revival of social contract theory in the 1970s -and especially the work of John Rawlsgenerated a renewal of interest in contractarianism in international political theory. 1 Of course the debate on the notion of a contract to regulate conflict between states was not new. Hobbes ruled it out as impossible in the absence of a global Leviathan, and Kant -arguably ironicallysaw such a contract as the path to perpetual peace. But the recent focus of recent liberal theories on issues of justice between all individuals represents a new development. Liberal universalist or "cosmopolitan" theorists have sought to apply the contract structure to problems in "normative" international theory. Rawls and his contemporary liberal contractarians -Scanlon, Barry, Charvet, Beitz, Pogge et al. -seem to offer a conceptual device for addressing the ethical problems of global injustice, such as economic inequality and human rights violations.

I argue that social-contract theory cannot succeed because reasonable people may always disagree, and that social-contract theory is irrelevant to the problem of the legitimacy of a form of government or of a system of moral rules. I note the weakness of the appeal to implicit agreement, the conflation of legitimacy with stability, the undesirability of “public justification” and the apparent blindness to the evolutionary critical-rationalist approach of Hayek and Popper. I employ that approach to sketch answers to the theoretical, historical and practical questions about the legitimacy of government or of systems of moral rules.

The Theses LVI belong to a series of hitherto unpublished early manuscripts of the Dutch humanist and jurisconsult Hugo Grotius (1583-1645) that were acquired by the University of Leiden in 1864. It is not certain when the Theses were written, but preliminary research on the physical manuscript and the sources cited indicate two possible windows. The first is around 1602-1605, that is roughly at a time when Grotius was also working on his Commentary on the Law of Prize and Booty (De Iure Praedae Commentarius). The second dating places the genesis of the manuscrbipt around 1613-1615.
In the context of Grotius’ writings, the Theses LVI assume an important position for several reasons: They raise questions about state formation, the duty of citizens to the state and the right of political resistance in far greater detail than in any other work of the celebrated Dutch humanist. The Theses LVI also feature important reading notes that yield priceless insights into the sources that Grotius directly consulted and their influence on his ideas. The manuscript grants modern scholars a unique glimpse into the working mind of its author. Evidence points not only to the ferocious haste with which Grotius wrote his works, but also the occasional sloppiness of his reading and research habits."""

A very unusual thing happened on February 12th in Athens: the Greek capital city went up in flames. Now, even the casual follower of events in the country might spot something peculiar in this sentence — not with the event described, but with the statement. Is that any news? Haven’t smoke and flames risen enough times to question that “Athens is burning” is really that unusual? For the casual follower of Greek events the array of images of destruction have become a series of near-unimportant blips. Ever so often, “Athens is burning”. Somewhere. But on that night, Athens was burning. Everywhere.

Normally, contractual conceptions of intergenerational justice regard the responsibility held by each generation as symmetrical. This article argues that the late modern society has created an asymmetry because of its unprecendented instrumental and destructive capacity. Historically unique risks such as thermonuclear destruction, global ecological deprivation, and resource depletion all point at this asymmetry and unequal distribution of responsibility between generations. Extending one contractual device used by John Rawls in line with what Brian Barry has suggested, this article analyzes the roots of the asymmetry and presents two political strategies to end it. The first strategy resembles the traditional deep ecological programme whereas the second holds an imaginative vision of a human future in space. Both strategies seek to reduce the influence present generations exercise on the level of opportunity available to future generations. The key normative argument is that intergenerational justice requires spatial and temporal limits on political action.
